Divya Consultancy is a private regulatory compliance consultancy firm based in Ahmedabad, Gujarat, India. We assist food businesses, manufacturers, and exporters with licensing, certifications, and compliance management across FSSAI, USFDA, APEDA, ISO, and other regulatory frameworks.

2. Use of Our Website

Divya Consultancy provides professional consultancy services including, but not limited to: FSSAI licensing and compliance, USFDA registration, APEDA/Spices Board/Tea Board registration, IEC registration, ISO certification guidance, trademark registration, and environmental clearances (CTE/CCA via GPCB).

3.2 — What We Do Not Guarantee

While we prepare documentation carefully and manage the application process professionally, we cannot guarantee approval outcomes. Regulatory decisions are made by independent government authorities and are beyond our control. Specifically:

• We do not guarantee approval of any application, license, or certification
• We do not guarantee specific processing timelines set by government authorities
• We are not responsible for delays caused by changes in government policy or portal downtime
• Approval decisions rest entirely with the relevant regulatory authority

3.3 — Client Responsibilities

For us to serve you effectively, you agree to:

• Provide accurate, complete, and truthful information and documents
• Inform us promptly of any changes to your business that may affect your application
• Respond to our requests for additional information within agreed timelines
• Pay agreed professional fees as per the agreed schedule

Divya Consultancy is not liable for delays, rejections, or penalties that arise directly from inaccurate or incomplete information provided by the client.

4. Fees & Payment

Our professional fees are agreed with each client prior to engagement and set out in a written proposal or service agreement. The following conditions apply:

• Professional fees are separate from and in addition to any government fees or portal charges
• Government fees are typically collected from the client at cost and are not our revenue
• Fees are non-refundable once work has commenced, unless otherwise agreed in writing
• We do not charge hidden fees — all costs are disclosed upfront
• If a service scope changes, revised fees will be communicated before additional work begins

5. Confidentiality

Both parties agree to maintain the confidentiality of all sensitive business information shared during the engagement:

• We will not disclose your business information to third parties except as required for service delivery (e.g., submitting to FSSAI portal) or by law
• Client names and business details will not be used in marketing materials without prior written consent
• You agree not to share our internal processes, pricing schedules, or proprietary compliance frameworks with third parties

This confidentiality obligation survives the termination of our engagement.

6. Intellectual Property

All content on divyaconsultancy.in — including text, graphics, logo, service descriptions, compliance frameworks, and methodologies — is the intellectual property of Divya Consultancy and is protected under Indian copyright law.

• You may not reproduce, copy, or redistribute our website content for commercial purposes without our written permission
• You may share links to our website freely
• Case studies, frameworks, and compliance tools developed during your engagement remain our intellectual property unless explicitly assigned in writing

7. Limitation of Liability

To the maximum extent permitted by law:

• Divya Consultancy is not liable for indirect, consequential, or incidental losses arising from the use of our website or services
• We are not liable for losses caused by government authority decisions, portal failures, or policy changes outside our control
• Our total liability to any client for any claim shall not exceed the professional fees paid by that client for the specific service in question
• We are not liable for damages arising from your failure to provide accurate information or documents

Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, as such limitations are not permitted by Indian law.

8. Third-Party Links & Websites

Our website may contain links to external websites (e.g., FSSAI portal, DGFT, APEDA). These links are provided for your convenience. Divya Consultancy has no control over and accepts no responsibility for the content, privacy practices, or terms of any third-party website. Visiting external links is at your own risk.

9. Termination of Engagement

Either party may terminate the engagement with written notice (WhatsApp, email, or letter). Upon termination:

• Fees for work already completed are non-refundable
• We will provide all documentation completed to date to the client
• Confidentiality obligations continue for 2 years after termination
• We reserve the right to terminate immediately if a client provides fraudulent information or engages in unlawful activity

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India. Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation between the parties.

If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

For EU residents, your statutory consumer rights under applicable EU law remain unaffected by these Terms.

11. Amendments to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the website or services after changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

12. Entire Agreement

These Terms, together with any written service proposal or agreement between Divya Consultancy and the client, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior communications, representations, or understandings.
